Once Form C has been filed and your Equity Portal page is publicly available, the only permissible advertisement or public announcement is one that includes at most the following elements:

• A statement that the company is conducting an offering, the name of the intermediary through which the offering is being conducted, and a link directing the investor to the intermediary’s platform;
• The terms of the offering (limited to the number of securities offered, the nature of the securities, the price of the securities, and the closing date of the offering period); and
• Factual information about the company’s legal identity and business location (limited to the name of the company, the address, phone number, the website of the company, the email address of a representative of the company, and a brief description of the business of the company).

This prohibition applies not only to the company but to all persons acting on behalf of the company in the offering, including third-party marketers and promoters.
